DATA PROTECTION AND CYBER SECURITY OBLIGATIONS

Where the Seller accesses, receives, processes, stores, or otherwise handles personal data of Buyers, users, or other individuals through the LX INDIA Platform, the Seller shall comply with applicable data protection laws, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and applicable Cybersecurity requirements.

The Seller shall:

  • process personal data only for lawful purposes connected with order fulfilment, customer support, and contractual obligations;
  • not sell, disclose, misuse, or commercially exploit personal data received through the Platform;
  • implement reasonable technical and organisational safeguards to protect personal data;
  • prevent unauthorised access, disclosure, loss, alteration, or misuse of personal data.

The Seller shall notify LX INDIA without undue delay upon becoming aware of any actual or suspected data breach, security incident, or unauthorised access involving LX INDIA related personal data.

The Seller shall cooperate with LX INDIA in responding to regulatory obligations, investigations, customer concerns, or security incidents arising from such breach.

SELLER RESPONSIBILITY FOR PERSONAL DATA

Where the Seller provides personal data to LX INDIA, the Seller represents and warrants that such data has been collected lawfully and that LX INDIA is permitted to process such information in accordance with applicable laws and LX INDIA’s Privacy Policy.

The Seller shall not provide any personal data to LX INDIA in violation of applicable law or third-party rights.

CONSUMER PROTECTION COMPLIANCE #

The Seller acknowledges and agrees that all products and services offered through the LX INDIA Platform shall comply with applicable consumer protection laws, including the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and other applicable regulations.

The Seller shall ensure that products listed on the Platform are accurately described and that all representations, advertisements, disclosures, pricing information, warranty details, and product specifications provided to Buyers are true, complete, and not misleading.

Where a product or service is found to be defective, deficient, unsafe, adulterated, spurious, counterfeit, materially different from the description provided, or otherwise non-compliant, the Seller shall remain responsible for resolving such customer-related issues in accordance with applicable law and LX INDIA policies.

LX INDIA may facilitate communication, processing, and resolution mechanisms between Buyers and Sellers through the Platform to provide a structured customer experience.

Such facilitation by LX INDIA shall not transfer responsibility for product quality, defects, warranties, refunds, replacements, or statutory obligations from the Seller to LX INDIA.

The Seller shall establish appropriate mechanisms to address customer complaints, queries, warranty obligations, and after-sales requirements relating to products sold by the Seller.

FALSE AUTHORISATION, COUNTERFEIT GOODS AND MISREPRESENTATION #

The Seller shall not:

  • falsely claim ownership, dealership, distributorship, authorisation, certification, or affiliation with any brand;
  • list or sell counterfeit, unauthorised, stolen, tampered, or infringing products;
  • provide false invoices, authenticity documents, licences, certificates, or compliance records;
  • misrepresent product origin, quality, specifications, or legal status.

Where LX INDIA reasonably suspects or identifies counterfeit activity, intellectual property infringement, false representation, fraudulent conduct, or serious compliance violations, LX INDIA may take appropriate measures including:

(a) removing or restricting affected listings;

(b) suspending or terminating the Seller Account;

(c) withholding or adjusting Seller settlements to the extent reasonably required for refunds, claims, penalties, investigations, legal expenses, logistics costs, or other losses arising from the Seller’s conduct;

(d) requesting additional documents, explanations, invoices, authenticity proof, or compliance records;

(e) sharing relevant information with brands, rights holders, regulators, payment partners, logistics partners, law enforcement agencies, or other appropriate authorities where legally permitted or reasonably necessary.

The Seller shall fully cooperate with any investigation conducted by LX INDIA relating to suspected violations.

The Seller shall indemnify LX INDIA against losses, claims, penalties, damages, costs, and expenses arising from counterfeit products, false representations, intellectual property violations, or unlawful activities attributable to the Seller.

BRAND PROTECTION AND INFORMATION SHARING #

LX INDIA is committed to protecting Buyers, genuine brand owners, Sellers, and the integrity of the Platform.

Where LX INDIA reasonably believes that a Seller account, product listing, transaction, or activity involves counterfeit products, fraud, intellectual property infringement, consumer risk, regulatory violations, or breach of Platform policies, LX INDIA may collect, review, preserve, and share relevant information for legitimate purposes.

Such information may include:

  • Seller account information;
  • business details;
  • KYC records;
  • product listings;
  • product images and descriptions;
  • invoices and sourcing documents;
  • transaction records;
  • communications;
  • compliance documents.

Such information may be shared with:

  • brand owners and intellectual property rights holders;
  • authorised representatives;
  • regulatory authorities;
  • law enforcement agencies;
  • payment service providers;
  • logistics partners;
  • professional advisors assisting LX INDIA.

Any such disclosure shall be made only where LX INDIA reasonably believes it is necessary for legal compliance, fraud prevention, consumer protection, protection of intellectual property rights, investigation, or enforcement of Platform policies.

LX INDIA shall not be responsible for consequences arising from disclosures made in good faith for legitimate purposes.

SUPPLY CHAIN COMPLIANCE #

The Seller represents and warrants that its sourcing, manufacturing, procurement, and supply chain activities comply with applicable laws and ethical business requirements.

The Seller shall ensure that its suppliers, manufacturers, and business partners comply with applicable requirements relating to:

  • labour laws;
  • prohibition of forced labour and child labour;
  • workplace safety;
  • environmental requirements;
  • product safety standards.

The Seller shall maintain reasonable records relating to product sourcing and supply chain information and shall provide such records to LX INDIA upon reasonable request.
