Suspension and Termination of Seller Account #
(a) Right to Suspend or Terminate: The Platform reserves the absolute right, exercisable at its sole discretion, to suspend, restrict, deactivate, or permanently terminate any Seller Account, either wholly or in part, with or without prior notice or liability, under any of the following circumstances:
- If the Seller is found to be in breach of these Terms of Use (“ToU”), any Program Policy, or any other applicable agreement executed with the Platform;
- If the Seller engages in, or is reasonably suspected of engaging in, any fraudulent, unlawful, unethical, or deceptive conduct, including the sale of counterfeit, infringing, or prohibited goods;
- If the Seller fails to comply with any applicable law, regulation, order, or directive of a competent authority;
- If the Seller provides false, inaccurate, incomplete, or misleading information during registration or in the course of its dealings;
- If the Seller’s conduct, performance, or transactional record — including excessive order cancellations, return rates, or customer complaints — is deemed detrimental to the reputation, integrity, or legitimate business interests of the Platform or its affiliates;
- If required to do so pursuant to any order, investigation, or direction of a governmental, judicial, or regulatory authority; or
- For any other reason which, in the reasonable opinion of the Platform, warrants such suspension or termination for the protection of its operations, other sellers, customers, or the general public.
2. Effect of Termination or Suspension: Upon termination or suspension of a Seller Account:
- The Seller shall immediately cease all activities related to the sale, listing, or promotion of products on the Platform;
- All pending transactions shall be subject to review and may be cancelled, refunded, or settled in accordance with applicable policies;
- The Seller shall remain liable for all obligations, dues, liabilities, or claims arising prior to such termination or suspension; and
- The Platform shall retain the right to withhold or adjust any payments due to the Seller to offset amounts payable, damages, penalties, or costs arising from such breach or misconduct.
3. Reinstatement : The Platform may, at its sole discretion, consider a request for reinstatement or reactivation of a suspended account, subject to satisfactory resolution of the cause of suspension, completion of required verifications, and compliance with all applicable conditions imposed by the Platform. Nothing herein shall be construed as an obligation upon the Platform to reinstate any Seller Account once terminated.
4.Survival of Obligations: Termination or suspension of the Seller Account shall not affect any rights, remedies, or obligations accrued prior to such termination, including but not limited to payment obligations, indemnities, confidentiality undertakings, and compliance with applicable law all of which shall survive the termination of this Agreement.
