Indemnification #
The Seller agrees to defend, indemnify, and hold harmless LX INDIA, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, representatives, successors, and permitted assigns from and against all claims, losses, liabilities, damages, penalties, costs, expenses, and reasonable legal fees arising out of or relating to:
(a) breach of these Terms of Use, Platform policies, or any agreement between the Seller and LX INDIA;
(b) violation of any applicable law, regulation, government direction, or third-party rights;
(c) infringement of intellectual property rights, privacy rights, or proprietary rights caused by Seller products, listings, content, or activities;
(d) defective, unsafe, counterfeit, unlawful, or non-compliant products supplied by the Seller;
(e) inaccurate, misleading, or incomplete product information provided by the Seller;
(f) failure to fulfill customer obligations, including returns, refunds, replacements, warranties, and after sales support;
(g) claims, notices, penalties, investigations, or proceedings arising from Seller activities.
The Seller shall cooperate fully with LX INDIA in defending any such claim or proceeding.
The indemnification obligations under this clause shall survive suspension, termination, or expiry of the Seller’s account or this Agreement.
