Seller-Initiated Account Closure #

A Seller may request closure of its Seller Account by submitting a formal request through the designated process prescribed by LX INDIA.

Upon receipt of such request, LX INDIA may place the Seller Account under a temporary closure review period of thirty (30) days (“Cooling Period”) to facilitate completion of pending transactions, settlement reconciliation, return and refund processes, chargebacks, investigations, disputes, compliance reviews, and other outstanding obligations associated with the Seller Account.

During the Cooling Period, LX INDIA may restrict selling activities associated with the account. The Seller may be provided limited access to relevant account records, statements, tax documents, and transaction information where required.


Pending Obligations #

The Seller shall remain responsible for all obligations arising from transactions completed before the effective closure of the account, including product related liabilities, customer claims, disputes, statutory liabilities, and compliance requirements. LX INDIA shall process customer refunds, adjustments, and settlements in accordance with applicable policies and shall be entitled to adjust, deduct, or withhold amounts from the Seller’s settlement proceeds or Escrow Account, as applicable, to the extent reasonably required for pending obligations, including refunds, returns, chargebacks, penalties, unpaid fees, legal obligations, regulatory requirements, fraud-related losses, or other liabilities associated with the Seller Account. Any such adjustment, deduction, or withholding shall be limited to amounts reasonably connected with the applicable obligation, dispute, investigation, or liability.

Account Closure and Final Settlement #

Upon expiry of the Cooling Period, you must confirm, in writing or through authorised electronic means, that all required records have been retrieved and that you wish to proceed with final deactivation of your account. Subject to verification of pending obligations, including outstanding liabilities, disputes, penalties, investigations, or claims, LX INDIA may permanently deactivate your account. The final settlement amount, after applicable adjustments, deductions, or withholding under this Agreement, shall be processed in accordance with the applicable settlement terms.


Retention of Seller Information

Closure or deactivation of a Seller Account shall not result in immediate deletion of all Seller information.

LX INDIA may retain Seller information, including account details, KYC documents, GST information, transaction records, settlement records, communications, and compliance documents, for such period as may be required under applicable laws, taxation requirements, regulatory obligations, dispute resolution requirements, fraud prevention practices, audit requirements, or internal compliance policies.

Such retention shall be carried out in accordance with applicable data protection laws and LX INDIA’s Privacy Policy.

Reactivation and Duplicate Accounts #

Where a Seller Account has been closed, suspended, or terminated, the Seller shall not create or operate another Seller Account without prior approval from LX INDIA. A Seller seeking to resume activities may submit a request for reactivation. LX INDIA may consider such request subject to verification, compliance review, settlement of outstanding obligations, and fulfillment of conditions prescribed by LX INDIA. LX INDIA shall not be obligated to reactivate any Seller Account and may reject any reactivation request where it reasonably believes such action is necessary for platform security, compliance, customer protection, or business reasons.

Survival of Obligations #

Closure, suspension, deactivation, or termination of a Seller Account shall not affect any rights, remedies, obligations, or liabilities that have accrued before such action.

Any obligations relating to payments, indemnification, confidentiality, intellectual property rights, compliance with applicable laws, customer claims, disputes, investigations, and liabilities arising from activities conducted before termination shall continue to remain binding upon the Seller.
