Legal Compliance #

1. General Compliance Obligations #

You acknowledge and agree that you shall, at all times, strictly comply with all applicable laws, regulations, notifications and directions issued by competent authorities, including but not limited to laws governing the manufacture, import, storage, marketing, labelling, taxation, sale and delivery of the goods and services offered on the LX INDIA Platform. You further agree to duly execute and adhere to all declarations, undertakings, representations and warranties contained in these Terms of Use (“ToU”) and any policies issued by LX INDIA from time to time.

You shall be solely responsible for obtaining, maintaining and renewing all statutory registrations, licences, approvals and authorisations necessary for conducting your business and for the lawful listing and sale of products on the Platform, including but not limited to GST registration (where applicable), trade licences, import licences, shop establishment registrations and any sector-specific statutory approvals. LX INDIA shall not be liable for any failure by you to obtain or maintain such registrations or approvals.

2. Jewellery, Hallmarking and KYC #

Where you list or sell jewellery, you shall provide a valid and legally compliant hallmark certificate along with the product at the time of delivery and shall ensure full adherence to all hallmarking and related requirements under applicable law. You shall also be solely responsible for carrying out customer KYC, wherever required under anti-money laundering or related laws. LX INDIA expressly disclaims any responsibility or liability for conducting or verifying such KYC or hallmarking compliance.

3. Data Protection & Cyber-Security Obligations #

If you collect, access, use, store, record or otherwise process any personally identifiable information, including but not limited to a person’s name, age, gender, email address, postal address, phone number or image (“Personal Data”), received from or on behalf of LX INDIA, its users, partners, group companies, contractors or employees (“LX INDIA Personal Data”), you agree that you shall:

  • comply with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and the CERT-In Directions on Cyber-security (2022), including obligations relating to lawful processing, breach notification, storage and transfer of Personal Data;
  • use LX INDIA Personal Data solely for purposes connected with order fulfilment or performance of obligations under this ToU, and not sell, rent, trade, solicit, profile or otherwise use such data for any unrelated or unauthorised purpose;
  • keep such Personal Data strictly confidential and protect it from unauthorised access, disclosure, alteration, misuse or loss by implementing appropriate physical, technical and organisational safeguards;
  • report any cyber incident, breach or security lapse — including those that require reporting to CERT-In or any other authority — within the timelines prescribed under law, and also notify LX INDIA without undue delay at the designated email addresses notified by LX INDIA; and
  • retain LX INDIA Personal Data only for as long as reasonably necessary to perform your obligations under this ToU or as legally required, and thereafter securely delete or return such data and provide written confirmation of such deletion or return upon request by LX INDIA.

These data-protection obligations shall survive termination of your relationship with LX INDIA.

Where you provide any Personal Data to LX INDIA, you warrant that such data has been lawfully collected and that there is no restriction under law preventing LX INDIA from processing such data in accordance with this ToU and LX INDIA’s Privacy Policy available at www.lxindia.com.

4. Product Legality, Listing Compliance and Legal Metrology #

Responsibility for Product Legality #

You assume full, sole and exclusive responsibility for ensuring that every product listed, advertised, offered for sale or supplied through www.lxindia.com is lawful for sale in India and complies with all applicable Central, State and local laws, including any notifications, circulars, and directions issued by competent authorities from time to time. This includes compliance with LX INDIA’s Prohibited and Restricted Merchandise Rules, all applicable Platform policies, and any additional requirements communicated by LX INDIA.

You shall ensure that products are not banned, restricted, misdeclared, unsafe, expired, recalled, counterfeit, infringing, adulterated or otherwise in violation of applicable law.

Sector-Specific Regulatory Compliance #

Where applicable, you shall ensure compliance with all mandatory certifications, registrations and approvals, including but not limited to:

  • Bureau of Indian Standards (BIS) certification/registration for notified products
  • Food Safety and Standards Act and FSSAI regulations for food and consumables
  • Drugs and Cosmetics laws for medicines, cosmetics, medical devices and personal-care products
  • Electronics & battery safety standards, including applicable WPC/ETA, e-waste rules and energy-labelling requirements
  • Environmental, packaging, waste-management and recycling obligations, including EPR where applicable
  • Any product-specific licensing regime notified by the Government of India

You shall maintain valid documentation at all times and furnish the same to LX INDIA immediately upon request.

Legal Metrology (Packaged Commodities) Compliance #

You shall ensure that all pre-packaged commodities listed or supplied on the Platform fully comply with the Legal Metrology Act, 2009 and the Legal Metrology (Packaged Commodities) Rules, 2011, including but not limited to:

Rule 6(1) — mandatory declarations on packages such as:
(a) name and address of the manufacturer/packer/importer
(b) common or generic name of the commodity
(c) net quantity in standard units
(d) month & year of manufacture/packing/import
(e) retail sale price (MRP) inclusive of all taxes
(f) consumer care contact details

Rule 6(10) — ensuring that all mandatory declarations appearing on the package are also clearly and prominently displayed on the product listing page on the LX INDIA Platform.

You confirm that no misleading, false, suppressed or altered declaration will be made either on the product packaging or on the Platform listing.

Country of Origin #

Where applicable, you shall clearly and correctly declare the Country of Origin in compliance with legal and regulatory requirements, and shall not misstate or conceal origin details under any circumstances.

Consequences of Non-Compliance #

Any fines, penalties, seizures, litigation, notices, regulatory action, brand claims, consumer complaints or third-party disputes arising out of non-compliance with product or labelling laws shall be entirely at your sole risk and cost. LX INDIA shall not bear any responsibility in this regard.

You acknowledge that compliance is an ongoing obligation, and agree to promptly update listings, packaging and disclosures to reflect any changes in law, regulatory requirement, certification status or product information. You shall immediately notify LX INDIA if any product becomes unsafe, recalled, restricted or unlawful for sale.

5. Compliances under the Consumer Protection (E-commerce) Rules, 2020 #

If your products or services are found to be defective, deficient, adulterated, or spurious, or if they do not match the advertised or agreed features, or are delivered later than the stated delivery schedule, you shall provide customers with the benefits of Refund, Return/Replacement, Exchange, Warranty, Guarantee, Withdrawal, and Cancellation for the products or services listed on the LX Platform, and such benefits shall be delivered electronically to the customer by LX India on your behalf.

You agree and undertake to comply with the obligation to register yourself with Levelx Micro Systemes (OPC) Private Limited for selling your products and/or services on the LX INDIA Platform and to establish a Consumer Grievance Redressal Mechanism to address and resolve consumer disputes whenever referred by the LX India Platform.

6. False Authorisation, Counterfeit Goods & Misrepresentation — Penalties & Consequences #

You shall not misrepresent or falsely claim brand affiliation, dealership, distributorship, licence or authorisation, nor list, market, supply or sell counterfeit, unauthorised, tampered, refurbished (unless clearly declared), parallel-imported or otherwise infringing goods.

Where such conduct is suspected or established, LX INDIA may, with or without prior notice and at its sole discretion:

  • suspend, block, restrict or terminate your Seller Account;
  • remove listings and disable new listings;
  • withhold or adjust payments due to you to cover refunds, chargebacks, penalties, logistics costs, legal or regulatory expenses, or any other losses arising from your listings or transactions on the Platform;
  • require you to pay any remaining balance upon request, along with applicable interest;
  • notify and cooperate with brands, regulators, payment partners or law-enforcement authorities; and
  • initiate appropriate civil and/or criminal proceedings.

You shall fully indemnify and hold harmless LX INDIA and its affiliates from all losses, penalties, damages, costs and proceedings arising from such misconduct.

Repeat or serious violations may result in permanent blacklisting.

7. Supply-Chain Compliance #

You warrant that you and your supply-chain partners shall:

  • comply with all laws relating to labour, human rights, environment and safety;
  • not engage in forced, bonded, involuntary or child labour;
  • maintain safe working conditions; and
  • implement reasonable supply-chain security controls including periodic audits.

8. Brand Protection & Information Sharing #

LX INDIA is committed to protecting customers, genuine brand owners, and the integrity of the Platform. Accordingly, where LX INDIA becomes aware of, suspects, or identifies any non-compliance, counterfeit activity, intellectual-property infringement, misrepresentation, consumer risk, fraud, or violation of applicable law or Platform policies, LX INDIA may, at its discretion, collect, review, preserve, and share relevant information and materials relating to you with appropriate third parties.

Such information may include, without limitation, account details, contact information, business records, listing data, product images and descriptions, invoices, authenticity or sourcing documents, transaction details, communications, and any other material reasonably required for verification, enforcement, investigation, safety, brand-protection, or legal-compliance purposes.

This information may be shared with:

  • brand owners and intellectual-property right holders;
  • authorised brand protection representatives and industry bodies;
  • payment partners and logistics partners;
  • regulatory, governmental, tax or consumer-protection authorities;
  • law-enforcement or investigative agencies; and
  • professional advisors assisting LX INDIA in protecting its legal rights.

Such sharing may take place with or without prior notice to you where LX INDIA determines that doing so is necessary or appropriate to prevent harm, protect consumers, support legitimate rights enforcement, comply with law, respond to regulatory requests, or protect LX INDIA from legal or reputational risk.

LX INDIA shall not be liable for any consequences arising from such disclosure where carried out in good faith furtherance of these objectives.

9. Consequences of Non-Compliance #

Any breach of this Legal Compliance clause shall constitute a material breach of this ToU. Depending on the nature and severity of the breach, LX INDIA may, with or without prior notice, take such action as it considers appropriate, including restricting listings, suspending or terminating your Seller Account, and/or reporting the matter to the relevant authorities. These rights are in addition to, and do not limit, any other contractual or legal remedies available to LX INDIA, including those expressly provided elsewhere in this ToU.
